CapitalScope is an AGPL-3.0+ open source specification for deterministic venture financing between a Venture Capitalist and an Enterprise Creator. The specification combines AI-assisted business analysis, market demand evaluation, emerging technology forecasting, risk scoring, cost validation, and deterministic financing rules into a modular financing framework.
CapitalScope is designed to help a Venture Capitalist evaluate whether an Enterprise Creator’s business concept is commercially viable, financially reasonable, technologically relevant, and sufficiently low risk to receive financing. The specification establishes a minimum financing score of 70, a fixed 4% annual interest rate, a maximum repayment period of eight years, and a deterministic repayment structure.
Purpose
CapitalScope establishes a standardized framework for evaluating and financing new enterprises.
The specification separates intelligent analysis from deterministic financing calculations. AI may assist with business evaluation, market analysis, predictive modeling, emerging technology analysis, and risk assessment, but AI does not independently alter the defined financing rules.
The CapitalScope financing relationship consists of:
Venture Capitalist = Lender
Enterprise Creator = Borrower
The Enterprise Creator receives approved financing and repays the Venture Capitalist according to the established CapitalScope financing schedule.

Core Modules
Financing Parties Module
The Financing Parties Module defines the participants in a CapitalScope financing agreement.
The Venture Capitalist is the lender.
The Enterprise Creator is the borrower.
The Venture Capitalist provides the approved financing.
The Enterprise Creator uses the financing to establish, develop, expand, or operate an enterprise and is responsible for repayment under the approved financing schedule.
Enterprise Evaluation Module
The Enterprise Evaluation Module evaluates the proposed business before financing approval.
The module may evaluate:
- Business concept
- Products and services
- Revenue model
- Target customers
- Operating model
- Management capabilities
- Competitive position
- Business scalability
- Revenue potential
- Expense requirements
- Cash flow expectations
- Commercial viability
- Business dependencies
The module produces an evidence-based assessment that becomes an input to the Risk Scoring Module.
Market Demand Module
The Market Demand Module evaluates whether sufficient demand exists for the proposed enterprise.
The module may evaluate:

- Market growth
- Competitive conditions

The module must distinguish between verified information, assumptions, projections, and AI-generated estimates.

The Emerging Technology Analysis Module evaluates technologies that may affect the proposed enterprise.
The module may analyze:

- Automation opportunities
- Technology-driven cost reductions
- Technology-driven revenue opportunities
- Competitive technology advantages
- Technology disruption risks

The module supports predictive analysis of technologies that could materially affect the enterprise during the proposed financing period.
Predictive Modeling Module
The Predictive Modeling Module produces forward-looking business scenarios.
The module may model:

- Operating costs

- Competitive pressure

- Downside conditions
- Base-case conditions

Predictive outputs must identify material assumptions and uncertainty.
AI-generated predictions are analytical inputs and do not override deterministic financing rules.
Risk Scoring Module
The Risk Scoring Module produces a standardized financing score from 0 to 100.
The score may incorporate:
- Business risk
- Market risk
- Financial risk
- Operational risk
- Competitive risk
- Technology risk
- Management risk
- Cost risk
- Demand risk
- Repayment risk
- Regulatory risk
- Predictive model results
The minimum CapitalScope financing score is:
70
A financing request with a score below 70 must not be funded under the CapitalScope Standard.
A score of 70 or greater establishes eligibility for further financing consideration but does not require the Venture Capitalist to approve financing.
Cost Analysis Module
The Cost Analysis Module determines whether the requested financing is consistent with realistic business costs.
The module may evaluate:
- Equipment
- Labor
- Inventory
- Real estate
- Infrastructure
- Software
- Technology
- Marketing
- Professional services
- Insurance
- Licensing
- Working capital
- Operating expenses
- Startup expenses
The module compares requested financing against validated cost estimates.
The module should identify:
- Inflated costs
- Unsupported costs
- Duplicated expenses
- Missing expenses
- Unrealistic assumptions
- Underestimated operating requirements
- Excess financing requests
Financing Eligibility Module
The Financing Eligibility Module combines the results of the core evaluation modules.
A financing request may proceed when the required evaluation conditions are satisfied.
The minimum financing score is:
70
Requests below 70 are not eligible for funding under the CapitalScope Standard.
The Venture Capitalist retains final approval authority.
AI analysis cannot lower the minimum score requirement.
Loan Principal Module
The Loan Principal Module establishes the amount financed.
The standard example uses:
Original Loan Principal = $200,000
The approved principal must be recorded in the financing agreement.
The principal becomes the basis for the repayment schedule.
Interest Calculation Module
CapitalScope uses a fixed annual interest rate of:
4%
The Interest Calculation Module first calculates a conventional amortized payment using:
Principal: Original loan principal
Annual Rate: 4%
Monthly Rate: 4% ÷ 12
Term: Approved repayment term
The total conventional payments are then determined.
Total Conventional Payments = Conventional Monthly Payment × Total Payment Count
Initial scheduled interest is:
Total Scheduled Interest = Total Conventional Payments − Original Loan Principal
The conventional amortization schedule is used only to establish the initial scheduled interest obligation.
It is not used as the actual repayment allocation.
Interest Redistribution Module
The Interest Redistribution Module distributes scheduled interest across the payment units.
Scheduled Interest Per Payment Unit = Total Scheduled Interest ÷ Total Payment Units
Each payment unit initially consists of:
One equal principal component + one equal interest component
Interest is not recalculated against declining principal.
Interest does not compound.
Interest does not get added to principal.
Principal Allocation Module
The Principal Allocation Module divides the original principal equally across the approved payment units.
For a $200,000 loan with 96 payment units:
$200,000 ÷ 96 = $2,083.333333…
The implementation must maintain sufficient internal precision and apply final-payment reconciliation.
Payment Unit Module
CapitalScope treats scheduled repayment as deterministic payment units.
Each payment unit contains:
Equal Principal Component + Equal Interest Component
A payment unit represents a defined portion of the original repayment schedule.
The payment-unit methodology does not convert into standard declining-balance amortization.
Payment Calculation Module
The Payment Calculation Module combines the principal and interest components.
Monthly Payment = Monthly Principal + Monthly Interest
The original payment amount is established before repayment begins.
The payment schedule must separately identify:
- Principal
- Interest
- Total payment
- Remaining principal
- Cumulative principal paid
- Cumulative interest paid
- Remaining scheduled interest
- Remaining payment units
First Payment Module
Repayment begins on the first day of the month immediately following the financing date.
There is no two-year repayment delay.
There is no deferred repayment period under the standard CapitalScope financing model.
The financing agreement must identify:
- Financing date
- First payment date
- Approved repayment term
- Final scheduled payment date
- Original principal
- Interest rate
- Payment units
- Scheduled payment amount
Repayment Term Module
The maximum repayment period is eight years.
The maximum standard repayment schedule is:
96 monthly payment units
A shorter repayment period may be approved when appropriate.
The approved repayment term must be established before the final repayment schedule is generated.
Prepayment Module
The Enterprise Creator may make additional principal payments at any time.
There is no prepayment penalty.
A qualifying principal prepayment:
- Reduces outstanding principal
- Does not change the 4% interest rate
- Does not create additional interest
- Does not create a prepayment penalty
- Does not convert the loan to standard declining-balance amortization
- Eliminates future payment units
- Eliminates the interest associated with eliminated payment units
- Shortens the repayment period
- Reduces total interest paid
The Venture Capitalist may not charge interest on principal that has already been repaid.
Interest Elimination Module
Interest is directly associated with outstanding principal and the future payment units associated with that principal.
When principal is paid down, the associated future interest is eliminated.
Principal Paid Down = Associated Future Interest Eliminated
If all outstanding principal is repaid:
Outstanding Principal = $0
then:
Interest Due = $0
Future Interest = $0
Remaining Payment Units = 0
No interest may survive complete repayment of principal.
Schedule Regeneration Module
When the Enterprise Creator makes a qualifying principal prepayment, the remaining schedule must be regenerated.
The regeneration process must:
- Apply the prepayment directly to principal
- Determine remaining principal
- Determine remaining payment units
- Eliminate payment units associated with the prepaid principal
- Eliminate future interest associated with eliminated payment units
- Preserve the 4% interest rate
- Preserve the deterministic payment-unit methodology
- Preserve all interest already paid
- Establish a new final payoff date
- Produce a transparent and reproducible schedule
Schedule regeneration must not retroactively modify previously completed payment records.
Early Payoff Module
The Enterprise Creator may repay the entire outstanding principal before scheduled maturity.
The early payoff amount is:
Early Payoff Amount = Remaining Principal
No prepayment penalty may be charged.
All future payment units are eliminated upon complete repayment.
All future interest associated with those payment units is eliminated.
Once the principal reaches zero:
Remaining Principal = $0
Remaining Interest Due = $0
Future Interest = $0
Remaining Payment Units = 0
Loan Status = Paid in Full
Final Payment Reconciliation Module
The Final Payment Reconciliation Module resolves fractional-cent differences created by the financing calculations.
The implementation must maintain sufficient internal precision.
The final payment must ensure:
Total Principal Repaid = Original Principal
and:
Total Interest Paid = Interest Actually Owed After Prepayments
The final reconciliation must not:
- Create additional interest
- Create a prepayment penalty
- Charge interest on repaid principal
- Compound interest
- Add interest to principal
Payment Completion Module
The Payment Completion Module verifies that the Enterprise Creator has satisfied the financing obligation.
A loan is complete when:
Outstanding Principal = $0
and:
Interest Due = $0
The completed record must identify:
- Venture Capitalist
- Enterprise Creator
- Original principal
- Interest rate
- Original repayment term
- Original scheduled interest
- Total principal repaid
- Total interest paid
- Interest eliminated through prepayment
- Number of prepayments
- Actual repayment term
- Final payment date
- Loan status
The final loan status is:
Paid in Full
Audit and Transparency Module
The Audit and Transparency Module maintains an independently verifiable record of the financing decision and repayment process.
The record may include:
- Business evaluation
- Market analysis
- Technology analysis
- Predictive models
- Risk score
- Cost analysis
- Financing decision
- Approved principal
- Interest calculation
- Payment schedule
- Prepayments
- Interest eliminated
- Schedule regenerations
- Final repayment
- Loan completion
The system must preserve sufficient information to reproduce deterministic financial calculations.
AI Governance Module
AI may assist with:
- Business analysis

AI must not independently:
- Override the minimum 70 financing score
- Change the 4% interest rate
- Create a prepayment penalty
- Charge interest on repaid principal

- Change deterministic repayment rules
AI outputs must be distinguishable from deterministic financial calculations.
Human Approval Module
The Venture Capitalist retains final authority over whether an eligible financing request is approved.
A score of 70 or greater establishes eligibility for consideration.
It does not require the Venture Capitalist to fund the Enterprise Creator.
The Venture Capitalist must be able to review the underlying analysis before approving financing.
Optional Plugin Modules
CapitalScope supports optional plugins that extend business analysis without changing the Core Modules.
Business Concept Development Plugin
The Business Concept Development Plugin assists the Enterprise Creator in developing or improving a business concept.
It may evaluate:
- Alternative business models
- Products
- Services
- Customer segments
- Revenue models
- Pricing
- Distribution
- Operating structures
- Technology opportunities
Any revised business concept must return to the Core Modules for independent evaluation.
Market Expansion Plugin
The Market Expansion Plugin identifies potential:

- Expansion opportunities
Expansion projections must be evaluated by the Market Demand Module.
Cost Optimization Plugin
The Cost Optimization Plugin identifies opportunities to reduce business costs while maintaining operational requirements.

Recommended cost reductions must be validated by the Cost Analysis Module.

Scenarios must be returned to the Predictive Modeling Module and Risk Scoring Module.
Business Restructuring Plugin
The Business Restructuring Plugin assists the Enterprise Creator in modifying a business concept that does not initially meet financing requirements.
It may recommend changes to:
- Costs
- Revenue models
- Target markets
- Products
- Services
- Operations
- Technology
- Distribution
A restructured business must be evaluated as a new analytical configuration.
The plugin cannot directly bypass the 70-point minimum financing requirement.
Modular Design
CapitalScope is designed so that modules may be implemented independently while maintaining defined interfaces between them.
Core Modules establish the mandatory financing framework.
Optional Plugin Modules extend analysis and business development without changing the deterministic financial rules.
AI-enabled modules may evolve as technologies improve, while the deterministic financing modules remain governed by explicit rules.
This separation allows CapitalScope to support future AI models, data sources, analytical systems, and business plugins without requiring the fundamental financing methodology to change.

- Repayment begins on the first day of the month following financing.
